MiniMax Agent Subscription Service Terms

1. General Provisions

This document (hereinafter referred to as "this Agreement" or "these Terms") applies to your use of the paid services provided by MiniMax Agent and related software applications and websites (collectively, the "Services" or "Agent"). "User," "you," or "your" refers to the individual accepting this Agreement."We", "us," or "our" refers to MiniMax.

To use the paid services and related features, you must carefully read and comply with this Agreement, the MiniMax AI Terms of Service, and any other terms, agreements, rules, guidelines, policies, notices, and instructions related to your use and/or access to our website, paid services, and promotions, including any revisions we may publish from time to time. This Agreement supplements the MiniMax AI Terms of Service, constitutes an integral part thereof, and is binding on you. If there is any conflict between this Agreement and the MiniMax AI Terms of Service, this Agreement shall prevail.

You must read and fully understand these Terms, especially those that may limit or exclude our company's liability and/or obligations, or that may limit your rights or constitute a waiver of rights. These Terms apply to your use of the Services. Acceptance of these Terms is a condition of your use of the Services. If you do not agree to or accept these Terms, you will not be able to use the Services.

We reserve the right to modify, replace, and/or update this Agreement at any time. All applicable disclaimers, indemnity clauses, and liability exemptions contained in this Agreement and the Terms of Service shall remain in effect after the termination of this Agreement for any reason.

2. User Eligibility

You may not use the paid services if you have not reached the minimum age specified in these Terms (the "Minimum Age") or the age of majority under the laws of your jurisdiction (the "Age of Majority"). If you have reached the Minimum Age but not the Age of Majority, you may only use the paid services under the supervision of a parent or legal guardian. In such cases, the parent or legal guardian must accept these Terms on your behalf and assume responsibility for your use of the services.

3. Intellectual Property

We do not claim ownership of content generated and downloaded by you during your paid subscription plan. As between you and us, you retain any and all intellectual property rights to such content, including the right to use it for commercial purposes.

By using our service, you grant to us and our affiliates a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating, improving, and promoting our services. This license does not affect your ownership rights or limit your commercial use rights. This license will remain in effect after the termination of these Terms.

6. Credit Consumption

Credits represent the resources required by the Services to complete tasks. In general, more complex tasks consume more credits than simpler ones. For example, large-scale research projects and sophisticated web application development typically require higher credit usage.

We provide reference estimates for credit consumption based on task type; however, actual usage may vary depending on the specific nature of your task and current system conditions.

9. Credit Refund Policy

If an Agent generation fails, the mode is downgraded, or the content review fails, the system will automatically refund the credits consumed during the generation process. Credit refunds are not available under any other circumstances.

10. Payment Process

Upon successful payment, the system will issue a confirmation notification. If a payment transaction fails, the user will receive a failure notification and may retry the payment.

Users must complete any outstanding payment orders before initiating new payment transactions.

The name, address, and VAT or tax ID displayed on your invoice are based on the payment information provided through Stripe. To update this information for future invoices, you must modify your payment details directly through your Stripe account at the time of checkout.

You must ensure that all payment information entered at checkout is accurate and reflects the details you wish to appear on the invoice. Updates to payment information will only affect invoices issued after the changes are made. Previously issued invoices cannot be modified due to tax compliance requirements.

13. Taxes/VAT

When purchasing a subscription or credits, applicable sales tax or VAT may be charged based on your billing location. Our payment processor will automatically calculate the relevant taxes using the billing information provided at checkout. The total amount, including any taxes, will be displayed before you complete the payment.Taxes are automatically calculated based on your billing details. We are unable to adjust the tax amount manually.

If your organization qualifies for tax exemption, please select the "I am purchasing as a business" option (if applicable) during checkout. You will then be prompted to enter a valid tax ID, such as a U.S. Employer Identification Number (EIN) or a VAT number issued by the relevant country. This information will be reflected on future invoices. Please be aware that tax policies are subject to change. A tax-exempt status for past purchases does not guarantee tax exemption for future transactions.
