These MiniMax Subscription Service Terms (these "Terms") form a binding agreement between you ("User") and Nanonoble Pte. Ltd. ("Company," "we," or "us") regarding your access to and use of MiniMax paid products and services (the "Paid Services" or "Services").
In order to use the Services, you must read, agree to, and comply with these Terms and the MiniMax Terms of Service (the "Terms of Service"), and you acknowledge that you have read the MiniMax Privacy Policy (the "Privacy Policy"), as well as any additional rules or policies we may issue from time to time. Upon your acceptance, these Terms constitute a supplemental agreement to the Terms of Service and form an integral part thereof.
Please read these Terms carefully, particularly the provisions relating to payment, automatic renewal, disclaimers, and limitations of liability. By clicking to accept, otherwise indicating consent, or actually using the Paid Services, you agree to be bound by these Terms.
1.1 MiniMax products and services refer to the artificial intelligence ("AI") content generation services, Agent services, and other related services provided by us to Users. The Paid Services are offered through various paid subscription plans (each, a "Subscription Plan"), which differ in benefits and service priority. The benefits you may enjoy under a Subscription Plan shall ultimately be determined by what is displayed on the relevant product page at the time of your purchase and/or use.
1.2.1 You may obtain credits ("Credits") by subscribing to a Subscription Plan. Credits may be used to redeem certain specified services or features within our Services. Credits issued under a Subscription Plan will be allocated monthly during the subscription term, with each allocation valid for one month. Any unused Credits automatically expire at the end of their validity period. Fees already paid will not be refunded, regardless of whether you use the Credits before expiration, except as required by applicable law.
1.2.2 We may adjust the services, features, pricing, and user entitlements associated with Credits from time to time. The specific means, price, and rules for obtaining or purchasing Credits will be as displayed on the relevant product page.
1.2.3 Credits may only be used to redeem specified services or features. They are not currency, do not have monetary value, and shall not be deemed virtual currency. You may not obtain or use Credits for profit, commercial transactions, transfers, sales, or other non-personal purposes.
The Paid Services include various Subscription Plans (such as Basic Membership and Pro Membership). The type, price, benefits, and term of each Subscription Plan shall be as displayed on the relevant product page.
The pricing for the Paid Services is independently determined by us and may be adjusted from time to time. The applicable fees will be displayed on the relevant product or payment page at the time of your order, and your order shall be governed by the then-current fees. Your continued purchase or use of a Subscription Plan following such adjustments constitutes acceptance of the adjusted terms.
Unless otherwise specified, all Subscription Plans will automatically renew at the end of each billing cycle at the then-current price, using the payment method you provided, until you cancel. You may cancel at any time through your account settings or as otherwise specified on the product page.
All fees are non-refundable once paid, except where required by applicable law (for example, certain jurisdictions grant consumers statutory cancellation rights). If you cancel, your Subscription Plan will remain active until the end of the current billing cycle, and you will not receive a refund for any unused portion.
You must use your own payment account and make payment in a lawful manner. If payment fails, you are responsible for any resulting consequences. If a bank, card network, or payment provider revokes a payment or requires a refund due to your or a third party's conduct, we may immediately revoke your paid benefits (including issued Credits), suspend or terminate your Paid Services, or reject future payments using accounts deemed risky.
You acknowledge that payments may involve certain risks, such as fraud or misappropriation of your account or payment information. We are not liable for losses resulting from such risks. We may provide reasonable assistance within the limits of applicable law to help reduce your loss, but such assistance does not impose liability on us.
If third-party services (e.g., payment services) are involved, you must comply with their terms. You are solely responsible for any disputes with such third parties. We shall not be liable to you or such third parties in connection therewith.
You may not lend, share, transfer, or otherwise permit others to use your account. Doing so violates the Terms of Service, and we may suspend, restrict, or terminate your account. We may also limit the number of devices that can log in or be active simultaneously under one account.
We may adjust, update, or optimize our services, features, Subscription Plans, pricing, and user entitlements from time to time. If you do not agree with such changes, you must cease using the Services. Continued use constitutes acceptance of the changes.
We may collect and process information relating to your use of the Services, including usage data, device data, and other technical information, in accordance with our Privacy Policy. Such information may be used to provide, maintain, and improve the Services, develop new features, ensure security, and comply with applicable laws.
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our total liability for all claims shall not exceed the fees you paid to us for the Services during the twelve (12) months preceding the event giving rise to the claim.
These Terms form an integral part of the Terms of Service. Any matters not expressly provided for herein shall be governed by the Terms of Service. In the event of any inconsistency between these Terms and the Terms of Service, these Terms shall prevail with respect to the Paid Services.
